N.V. ELECTRICITEIT-MAATSCHAPPIJ ARUBA ("ELMAR") intends to put out a tender for request for proposal, the project: Solar Park at Aruba Airport Authority (AAA).

Brief description of the project
The Project Solar Park at Aruba Airport Authority (AAA) consist of the design, build, finance, operate and maintain a solar park at the Aruba Airport Authority N.V. based on a power purchase agreement to be entered with ELMAR.
Scope of the contract:
The scope of the Project is to design, build, finance, operate and maintain a solar park at the Aruba Airport Authority NV. The parking area owned and operated by the Aruba Airport Authority N.V. at the Aeropuerto Internacional Reina Beatrix has been selected as the site for the first solar park of ELMAR to be built on an existing parking lot. ELMAR's intention is for the electricity to be generated from the solar park in a capacity not to exceed 4 MW to be fed into the 12 kV grid of ELMAR. As a good corporate citizen ELMAR intends to further supplement Aruba's growing electricity demands with clean energy generation by connecting to its grid one or more solar parks.
Clarification
Each Candidate will have the opportunity to ask questions concerning the RFP and the Draft Power Purchase Agreement. Questions can only be addressed by e-mail to Solartender@elmar.aw from the date of issuance of the RFP until 7 calendar days after the Pre-Bid-Meeting or during the Pre-Bid Meeting. ELMAR will send an automatic receipt confirmation notification upon receipt of the e-mail. There will be no further correspondence until after 7 calendar days after the Pre-Bid-Meeting. Upon expiration of this term ELMAR will within 14 calendar days provide answers to all those parties who purchased a bid request package. The answers will be provided via e-mail and in PDF format. The answers will be given without making a reference to the identity of the Candidate raising the question or clarification. ELMAR will provide answers to all questions received from all Candidates. All Candidates will be provided with the same information simultaneously. ELMAR does not assume any responsibility for e-mails not received timely in its mail box. ELMAR will also send a copy of the answers via registered mail to all those parties who purchased an RFP package. The mail will be addressed only to the mailing address provided at the time of buying the RFP request package.
PRE-BID MEETING
A Pre-bid Meeting shall be organized by ELMAR to explain the Project, the Tender Procedure, the RFP and the draft Power Purchase Agreement. The Candidate is invited to attend the Pre-Bid Meeting.
SUBMISSION OF PROPOSALS
The Candidate must submit its Proposal to the attention of ELMAR on February 14th, 2012 at 09:45 A.M. Aruba time, ("Proposal Submission Date"). Proposals received after the Proposal Submission Date shall not be accepted. The envelopes will be opened by ELMAR on
February 14th, 2012 at 10:00 A.M. For the purpose of the bids a bid form is enclosed with the specifications, in conformity with the model bid form enclosed herewith. The bid forms must be dated and validly signed. ELMAR is not liable for proposals not received in time.

Issuance of RFP
The tender procedure for the Solar Park at Aruba Airport Authority (AAA) project is described in the RFP. The RFP contains all the necessary information for the Candidate as the requirements, the procedures and the planning to which the Candidate must meet during the tendering process.

In order to obtain a RFP the Candidate must: (i) pay a RFP request fee of Awg. 2,500; (ii) sign the Non-Disclosure Agreement; and (iii) submit proof of payment and signed Non-Disclosure Agreement to ELMAR on the dates listed above. Proof of payment shall be either receipt issued by ELMAR’s cashier or a bank wire transfer confirmation. The RFP will be issued electronically in PDF format and issued on a USB-stick or CD. As part of the environment preservation initiative of ELMAR the RFP shall not be issued in hard copy.
Selection and award criteria
The first phase of the evaluation of the Proposals will be a check of Proposals by the notary. This will be a verification of the physical completeness of the Proposal as well as a verification of compliance with the documents required as stated in this RFP. A non-compliant proposal will be excluded from further evaluation.
The second phase of the evaluation will be a check of knock-out criteria. This will include a check of compliance with the technical and financial minimum criteria as stated in the RFP and the information related to experience/other projects as stated in this RFP. A non-compliant proposal will be excluded from further evaluation.
The remaining proposals will be evaluated with respect to their content by ELMAR. Evaluation will take place based on the following: (i) Compliance of the Tender Procedure with the conditions of the specifications; (ii) Technical design, consideration of local conditions, quality, and compatibility with equipment as per ELMAR standards of the offered equipment and plants; (iii) The lowest kWh price over the total period of
the Power Purchase Agreement; (iv) The quality and soundness of the business plan; (v) Quality of architectural design, esthetics; (vi) The anticipated capacity of the installation to withstand the extreme corrosive atmosphere of Aruba and the warranties as such given by the Candidate; (vii) Anticipated reliability and availability of the offered Plant as well as its guarantees for operation and maintenance; (viii) Guarantees, warranties and assurances provided by the Candidate in its Proposal.
ELMAR selects the best value proposal on the basis of the highest final score among all final proposals that are fully responsive to the RFP.
